Terms and conditions.
These terms govern your purchase and use of software sold through OCM Labs. Buying a module means you accept them.
1. Who we are
OCM Labs is the software division of Orange Collar Media, Inc., an ecommerce development agency based in Denver, Colorado and trading since 2008. References to "we", "us", and "our" mean Orange Collar Media, Inc. References to "you" mean the person or company buying a license.
2. What you are buying
You are buying a license to use a software extension for Magento 2 or Adobe Commerce. You are not buying the copyright in it. What each license permits is set out in the license agreement, which forms part of these terms.
Product pages state the supported Magento versions and editions. Buying a license for an installation outside that range is at your own risk, and support is limited to what we can reasonably offer.
3. Your account and Composer credentials
Modules are delivered over Composer through a private Packagist repository. On purchase, credentials are provisioned to your account dashboard automatically.
Those credentials are yours alone. Keep them confidential, do not publish them, and do not share them outside your organisation. You are responsible for anything done with your credentials. Tell us immediately if you believe they have been exposed, and we will rotate them.
4. Pricing and payment
Prices are shown in US dollars on each product page and are payable in full at checkout. Payment is processed by Stripe. We do not see or store your full card details.
Prices can change, but a change never affects an order already placed. Where sales tax applies it is calculated at checkout.
5. License term, updates, and renewal
A license includes 12 months of updates and support from the date of purchase.
When the 12 months end, your installed version keeps working. It is frozen at the last release you were entitled to. Nothing is revoked, disabled, or time bombed. To receive further updates and support you renew, at the price current at the time of renewal.
Renewal is optional. We will not charge a renewal without notice.
6. Support
While your license term is running you can open support tickets from your account dashboard. We target a response within one business day, and in practice usually beat it.
Support covers installing the module, configuring it as documented, and fixing defects in our code. It does not cover writing your custom code for you, debugging other vendors' extensions, or general Magento consulting. Those are things the agency side of the business is happy to quote for.
7. Acceptable use
You may not resell, sublicense, redistribute, or publish our source code, in whole or in part. You may not remove or obscure copyright notices. You may not use the software to build a competing extension for distribution.
Breaching this section terminates your license without refund.
8. Intellectual property
We retain all right, title, and interest in the software, including every update we ship. Your license grants use, not ownership. Any modification you make to the source for your own installation is yours to keep and yours to maintain.
9. Third party software
Our modules run inside Magento Open Source or Adobe Commerce and may integrate with third party platforms such as WordPress or Hyva. Those products are licensed by their own owners under their own terms, and we are not responsible for them, for changes they make, or for the consequences of those changes.
10. Disclaimer of warranties
We take real care with this code, and we test it. But the software is provided "as is". To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will be uninterrupted or error free, or that it will work with every combination of Magento version, theme, and third party extension in existence.
Test on staging before you deploy to production. Keep backups.
11. Limitation of liability
To the fullest extent the law allows, our total liability arising out of or relating to a module is limited to the amount you paid for that module in the 12 months before the claim.
We are not liable for lost profits, lost revenue, lost or corrupted data, or any indirect, incidental, special, or consequential damages, even if we were told they were possible.
Nothing in these terms excludes liability that cannot lawfully be excluded.
12. Termination
You can stop using a module at any time. We can terminate a license if you materially breach these terms and do not fix the breach within 14 days of us telling you about it. On termination you must stop using the software and delete your copies. Sections 8, 10, 11, and 15 survive termination.
13. Refunds
Refunds are governed by the returns and refunds policy.
14. Changes to these terms
We may update these terms. The version in force when you place an order is the version that governs that order. Material changes will be posted here with a new "last updated" date.
15. Governing law
These terms are governed by the laws of the State of Colorado, without regard to its conflict of laws rules. The state and federal courts located in Denver County, Colorado have exclusive jurisdiction over any dispute, and both parties consent to that venue.
